Assessment

Morpho's lending business is large, ~$205M a year of borrower interest on ~$16.7B of TVL, but realized protocol revenue is $0: the fee mechanism exists, feeRecipient is unset and no switch has been proposed. Issuance is zero so far, yet the wrapped token's owner-only mint() has no cap check, and the owner is a 6-of-10 DAO Safe with no timelock. Investors and founders got 42.7% at genesis, and the DAO has since granted the founder-run Association 470M MORPHO, 47% of max supply, which it sells to funds. That Safe shares 4 of its 10 signers with the Association and can upgrade the token proxy with no delay.

How value reaches holders

None operative: Morpho Blue's fee mechanism (DAO-set, up to 25% of interest per market) exists but feeRecipient is unset, and no fee switch has been proposed; realized protocol revenue is $0 against ~$205M/yr of borrower interest. Flows run the other way: the DAO has granted 470M MORPHO (47% of max supply) to the Morpho Association, which sells to investors ($175M in Jun 2026); ~74.5M of the MIP-131 tranche left its Safe in 5.5 months

What would move it up

To reach T4 Speculative, one gate is still open:

  • Supply 0needs 1(open)

Tier outlook

Could move up ↑low likelihood

  • Supply rises if the wrapped token's mint() gains a cap check or moves behind a timelock and binding holder vote
  • Revenue and routing: a fee-switch proposal and its recipient, with feeRecipient still unset
  • Distribution: pace of Association sales, with 79.7M of the MIP-131 grant left
  • Security rises if a timelock is placed in front of the 6-of-10 DAO Safe's token upgrades
  • Any vote cast by the Association delegate key holding 79.7M votes, enough to decide a proposal alone

Research report

Oct 16, 2026 · source confidence 80%

Morpho is one of the largest lending protocols in crypto, with about $16.7 billion deposited across 46 chains and roughly $205 million of borrower interest over the past year, none of which reaches the protocol or the token: the fee mechanism exists, but no fee recipient is set and no activation has been proposed in 140 governance votes. Token flows run the other way. The DAO has granted 470 million MORPHO, 47% of the stated maximum supply, to the Morpho Association, a French non-profit run by the four co-founders that sells tokens to investors and owns the brand and front-ends, and in which holders have no claim. Of the 150 million granted in April 2026 for a 2026 to 2030 program, about 74.5 million had left the Association multisig by mid-October. Voting is the holder right, and its balance of power is lopsided: the Association delegates its tokens to a single key that held 153.7 million votes after the grant and 79.7 million in October, against typical turnout near 2.5 million and a record of 23 million. That key has never voted, but it could decide any proposal alone. Approved votes execute through a 6-of-10 multisig, four of whose signers also sign for the Association, and that multisig directly owns the lending contracts and the token, including an uncapped mint function and the upgrade key, with no timelock. The one billion cap is therefore a governance commitment rather than a contract limit. The constructive path is the one Uniswap took in 2025: a legal wrapper for the DAO, then a fee switch routed to holders. Neither step has been proposed.

Value accrual
None operative. Morpho Blue supports a DAO-set fee of up to 25% of interest per market, but feeRecipient is unset (address zero, eth_call 2026-10-16) and no Snapshot proposal title among 140 concerns a fee switch. No staking, buyback, burn or distribution contract; the Association has never repurchased tokens (Association disclosures, Jun 2026)
Governance
Snapshot space morpho.eth, strategy morpho-delegation on the wrapped token: delegated votes count, while the ~290M legacy tokens in the DAO treasury carry no vote. Quorum and proposal threshold 500k. Outcomes execute only through the DAO Safe, 6-of-10 since MIP-133 (Aug 2026) with no modules, which directly owns Morpho Blue, both MORPHO tokens and the token upgrade key, with no timelock. 4 of its 10 signers also sign for the 5-of-8 Association Safe. Of 140 proposals, at least 71 were authored by the Association Safe, one of its signers, or its delegate key
Voting power
The Association Safe delegates to one EOA (0x937C...fEd5, labelled Morpho: Deployer 2): 153.7M votes after MIP-131 executed (Apr 30 2026) and 79.7M on Oct 16 2026, about 31x the ~2.5M turnout of MIP-133 and MIP-134 and 3.4x the largest vote ever cast (MIP28, 23.3M). That key has never voted on Snapshot. MIP-131 passed with 4.34M votes from 22 voters, three delegates casting 88%
Association grants
DAO grants to the Morpho Association total 470M (47% of max supply): 200M at genesis, 120M via MIP-69 (2024), 150M via MIP-131 (Apr 2026, 2026-2030 program, no recall right disclosed). ~74.5M of the wrapped balance left the Association Safe in 138 transfers from Apr 30 to Oct 14 2026; 79.7M wrapped plus 11.6M legacy remain
Mint authority
The 1B cap is policy, not code: the deployed wrapped token has an owner-only mint() with no cap check and owner-authorized upgrades, and the owner is the DAO Safe. On the legacy token no role holds mint capability and the owner is also the DAO Safe. Supply today is exactly 1B wrapped (999,999,993 legacy), with no mint after initialization
Legal structure
Morpho Association: French loi-1901 non-profit run by the four co-founders; holds the brand, front-ends and IP, signs off-chain contracts, is the MiCA issuer, owns Morpho Labs Inc. (Delaware); Morpho Labs SAS dissolved Q4 2025. Holders have no claim on it. MIP-94 (passed Feb 2025, 955.6k for, 18 against) routed the Berachain licence fee to the Association rather than the DAO treasury, citing tax risk to holders; amount undisclosed
Sales
Association token sales: ~$1.39M (2021), $18M (2022), $50M (2024, ~$0.80), $175M (Jun 2026: Paradigm, a16z, Ribbit, Apollo, Circle, VanEck; priced at the average monthly price). Apollo may acquire up to 90M over 48 months (Feb 2026)
Adoption
Coinbase BTC-backed loans (Jan 2025), Societe Generale FORGE (Sep 2025), Zama confidential USDC vault (Jun 2026); ~$11.3B borrowed
